Please read these Terms and Conditions ("Terms") carefully before using https://spindrift.io (the "Website") or the associated online application located at https://app.spindrift.io and the Query Hunter Wordpress Plugin & Chrome Extensions (the 'Products'), owned and operated by Spindrift Technologies Ltd ("Spindrift", "we," or "us").
By accessing or using the Website and Products, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Website or use the Products.
1. Intellectual Property
1.1 Ownership:
The Website, Products, and their respective contents, including but not limited to text, graphics, logos, images, software, and any other materials, are the intellectual property of Spindrift or its licensors. All rights not expressly granted herein are reserved.
1.2 Limited License:
Subject to these Terms, Spindrift grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Website and Products for the purpose of improving Search Engine Optimisation (SEO) and content of websites. You may not modify, reproduce, distribute, sell, or exploit any portion of the Website or Products without our prior written consent.
2. User Accounts
2.1 Account Creation:
In order to access the Products and utilise their features, you will be required to create a user account. You agree to provide accurate, current, and complete information during the registration process and to keep your account information updated.
2.2 Account Security:
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account or any other breach of security.
3. Use of the Platform
3.1 Fair Usage:
Your use of the Products for improving Search Engine Optimisation (SEO) and content of websites is subject to any additional terms and conditions specified by Spindrift, including any usage limits, restrictions, or guidelines. You agree to comply with these terms to ensure fair and responsible usage.
3.2 Programmatic Access:
By using the Products, you agree that Spindrift may programmatically access the data of the websites you link to the Products, solely for the purpose of measuring website performance and analysing your content. You assert that you have a right to provide Spindrift with such permission.
3.3 Prohibited Sites:
You may not link the Products to any website that host illegal material or harmful material. Spindrift maintains an absolute right to remove any link between the Products and a website that hosts such material, to delete data, and to place access restrictions on user accounts that link such sites.
3.4 Prohibited Conduct:
When using the Website and Products, you agree not to engage in any conduct that:
a. Violates any applicable laws, regulations, or third-party rights;
b. Interferes with or disrupts the functioning of the Website, Products, or their associated servers;
c. Attempts to gain unauthorised access to any portion or feature of the Website or Products;
d. Transmits viruses, malware, or any other malicious code;
e. Harasses, abuses, or threatens others;
f. Collects or stores personal information of other users without their consent.
3.5 User Content:
By linking Google Search Console and programmatically uploading data to the Products, you grant Spindrift a worldwide, royalty-free, non-exclusive, perpetual, and irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content, solely for the purpose of providing the Products and their associated services to you.
3.6 Compliance:
You agree to comply with any additional guidelines, documentation, or rules provided by Spindrift on the Website or within the Products, including any usage documentation or API documentation.
3.7 Billing & Free Trials:
Spindrift expressly prohibits users from creating multiple free trials within a 6 month period, either on the same account or across multiple accounts. Where such activity is detected, the Spindrift platform will automatically update the user's subscription to a paid plan. This condition does not apply to free trials granted or extended by Spindrift staff. It does not affect your statutory rights or cancellation under our No Hard Feelings Guarantee.
4. Platform Limitations & Modifications
4.1 Usage Limits:
Spindrift may impose usage limits or restrictions on the services provided by the Product, including but not limited to rate limits, volume limits, or access restrictions. These limits may be modified at any time without prior notice.
4.2 Modifications to APIs and Services:
Spindrift reserves the right to modify, deprecate, or discontinue any APIs or Services provided through the Products at its sole discretion. Efforts will be made to provide advance notice of any significant changes whenever possible.
5. Disclaimer of Warranty
THE WEBSITE, PRODUCTS, AND THEIR CONTENTS ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SPINDRIFT DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPINDRIFT TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE WEBSITE, PRODUCTS, OR THEIR CONTENTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7. Indemnification
You agree to indemnify and hold harmless Spindrift Technologies Ltd and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses arising out of or related to your use of the Website, Products, or any breach of these Terms.
8. Modifications to the Terms
Spindrift reserves the right, at its sole discretion, to modify or replace these Terms at any time without prior notice. Your continued use of the Website or Products after any such changes constitutes your acceptance of the revised Terms.
9. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales (UK). Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales (UK).
10. Severability
If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such provision shall be deemed severed from these Terms, and the remaining provisions shall remain in full force and effect.
11. Entire Agreement
These Terms constitute the entire agreement between you and Spindrift regarding the use of the Website, Products, and associated APIs and supersede all prior agreements and understandings, whether written or oral.
